BY ENTERING (OR OTHERWISE PARTICIPATING) IN THIS CONTEST, ENTRANTS AGREE TO THESE OFFICIAL CONTEST RULES, WHICH CREATE A BINDING CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING.

Contest Sponsors: Dunlop Motorcycle Tires, a California corporation (“DMT”) and other sponsors to be designated by DMT are the sponsors of the Pandemic Heroes Contest (this “Contest”) described in these official contest rules (“Contest Rules”). DMT and other sponsors to be designated are individually referred to as a “Sponsor” and collectively referred to as the “Sponsors,” “we” or “us”.

Eligibility: This Contest is open only to individuals (“Entrants” or “you”) who are legal residents of the one of the fifty states of the United States who are or will be at least 18 years of age, or the age of majority in their state of residence, whichever is greater, as of the time of entry.

Contest Period: Entries will be accepted online starting on September 3, 2020 at 12:00pm (EST) and all entries must be received by November 15, 2020 at 11:59pm (EST).

What We are Looking for: This Contest is a chance for you, to honor and show your gratitude to a First Responder or Healthcare Worker who has stepped up in a meaningful way during the COVID 19 pandemic (a “Pandemic Hero”). You can nominate a Pandemic Hero (“Nominee”) by submitting an essay or video testimonial (“Submission”) in accordance with these Contest Rules, describing in detail how the Nominee’s dedication, service and sacrifice has inspired you and is worthy of recognition. A “First Responder” is a person with specialized training who is among the first to arrive and provide assistance at the scene of an emergency, such as an accident, natural disaster, or act of terrorism. First Responders typically include law enforcement officers, as well as paramedics, emergency medical technicians, firefighters, rescuers, military personnel, sanitation workers, public works and other trained members of organizations connected with this type of work. In addition to medical professionals such as doctors and nurses, a “Healthcare Worker” includes anyone who provides care to those with serious health conditions in a hospital, urgent care, doctor’s office, nursing home, hospice, assisted living or similar care facility.

Prizes: The Nominee whose deeds are described in the winning Submission will be awarded a 2020 Harley-Davidson XL1200CX Sportster Roadster motorcycle.

Submission Guidelines: Your Submission should be no more than 500 words or Five (5) minutes in length via social media channels (Instagram/Facebook) and should include the Nominee’s name, field of service and the details of how the Nominee’s actions during the year demonstrate admirable or heroic deeds while the country has faced these unprecedented challenges since March of 2020. Together with your Submission, your entry (“Entry”) must include your name, phone number, e-mail address and date of birth. Incomplete or nonconforming Entries will not be considered. One (1) Entry per person will be accepted. Each Submission must be the original work of the Entrant and must describe actual places, events and deeds of the Nominee. Entrant shall obtain the permission of the Nominee to submit an Entry.

Judging Criteria: Winners will be chosen based on the following criteria: (a) how well the Submission expresses the theme of the Contest, (b) originality and creativity of the Submission (25%); and (c) the measurable contributions that the Nominee has made (50%).

Selection of Winner: After the conclusion of the Contest Period, Sponsors will select the winning Submission. The Prize winner will be selected in the sole discretion of Sponsors, whose decision will be fina

Winner Notification/Prize Awards: The Entrant and the Nominee of the winning Submission will be notified by e-mail within fourteen (14) days of the end of the Contest Period. To accept the Prize, the Nominee of the winning Submission should follow the instructions given by Sponsors in the notification.

How to Enter: To submit an Entry, visit https://www.dunlopheroes.com/ and follow the instructions. You must provide all information requested on the Contest entry form. Incomplete entries will be disqualified.

Ineligible Entries: To be eligible to win a Prize, entries must be completed and received by Sponsors in accordance with these Contest Rules. Use of any automated system or agent to submit entries is prohibited and will result in disqualification.

Directors, officers, and employees of a Sponsor and any of its affiliated and successor companies, or their respective professional advisors, advertising and promotional agencies, and Contest partners, and immediate family members of any of them, are not eligible to participate as Entrants or Nominees. “Immediate family members” includes spouses, siblings, parents, legal guardians, children, grandparents, and grandchildren, whether as “in-laws,” or by current or past marriage, remarriage, adoption, co-habitation or other familial extension, and any other persons residing at the same household location, whether or not they are related.

However, an eligible Entrant may nominate an immediate family member as a Nominee.

Contest Restrictions: Sponsors reserve the right in their sole discretion to suspend or cancel the Contest or any Entrant’s participation in the Contest should causes beyond the control of Sponsors corrupt the administration, security, operation or integrity of the Contest, or if Sponsors otherwise become (as determined in their sole discretion) incapable of running the Contest as planned. All applicable federal, state and local laws and regulations shall apply. This Contest is void where restricted or prohibited by law.

Prize Restrictions: Some restrictions may apply to the Prize. Sponsors reserve the right to substitute a prize of equal or greater value. The Prize is not assignable or transferable. THE PRIZE WILL BE AWARDED “AS IS” AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, (INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE).

Submission Content Restrictions: The Submission must not (i) infringe any third party’s copyright or other intellectual property rights, (ii) contain obscene or pornographic material, (iii) include threats to or slurs against any person, place, business, group or organization, (iv) invade the privacy or other rights of any person, firm or entity or (v) violate any applicable laws and regulations.

Sponsors Use of Submissions: Certain Submissions may be featured from time to time on the www.dunlopmotorcysletires.com website (the “Website”) or on one or more websites or social media channels of each Sponsor’s choosing during and following the Contest Period, in the Sponsor’s sole discretion. Selection by Sponsors as a featured essay or video on any website is unrelated to the judging criteria and does not guarantee selection as a winner in the Contest. Submissions posted to the Website shall be subject to the Website Terms and Conditions of Use and Privacy Policy.

All entries become the exclusive property of DMT and will not be returned to you. By entering this Contest, you irrevocably grant to DMT and its sublicensees the exclusive perpetual, royalty-free, worldwide right and license to reproduce, publicly display, publicly perform, distribute copies of, and make derivative works of any Submission.

Review of Submissions: Submissions may be reviewed for content before being judged, posted on the Website, or otherwise publically displayed; however, such review does not relieve Entrant from responsibility for compliance with all of these Contest Rules.

Personal Information: The entry form submitted to enter the Contest includes personally-identifying information such as your name, address, telephone number, email address and date of birth. This information will be used to (i) verify your eligibility to enter the Contest (ii) contact you if your Submission is chosen as the winner and (iii) post your name and state of residence on the Website if your Submission is chosen as the winner.

Each Sponsor treats the information provided by Entrant and any personally-identifying information you submit on the entry form as confidential. However, such information may be used for a Sponsor’s internal business and marketing purposes.

Sponsors will not sell, trade or rent your information. Each Sponsor may use the information it has collected about you to send you information or materials about products, offers and news that Sponsor believes may interest you; however, Sponsor will provide you with an option to opt-out of receiving such materials. Sponsors may provide some of the services to conduct this Contest through contractual agreements with affiliates, service providers, and other third parties (collectively, the “Service Partners”). Service Partners may use your personal information to operate and provide services related to this Contest. The use of your personal information by Service Partners is governed by the privacy policies of those Service Partners, and is not subject to Sponsors’ control.

Notwithstanding the foregoing, each Sponsor reserves the right to disclose any information in its possession if it believes that disclosure is necessary to: (i) conform to legal requirements or respond to a subpoena, search warrant or other legal process received by Sponsor, whether or not a response is required by applicable law; (ii) enforce the Contest Rules or to otherwise protect Sponsor’s rights or (iii) protect the safety of members of the public.

Winner’s Declaration, License and Release: As a condition of being awarded the Prize, the winning Entrant and the winning Nominee will each be required to execute and deliver to Sponsors (i) a signed Declaration of Eligibility, License and Release, which includes a certification of age and residence and an acknowledgement and agreement to these Contest Rules, (ii) a license to use the Entrant’s/Nominee’s image/likeness/voice and (iii) a release of liability. If the value of the Prize exceeds $599, the winning Nominee must also provide his or her social security number or other taxpayer identification number. The winning Entrant and winning Nominee must each sign and return the required documents within five (5) days of e-mail notification attempt or the Prize shall be forfeited. Prizes will be awarded within approximately thirty (30) days of receiving required documents noted above. Return of any e-mail notification or prize verification as undeliverable will result in disqualification.

Disclosure of Winner/Submissions: The identity and state of residence of the winning Entrant and winning Nominee may be disclosed on the Website, social media, press releases, and blogs. The winning Submission may also be published on the Website, social media, press releases, and blogs.

Taxes: All federal, state and local taxes (including any sales taxes) associated with the receipt or use of a Prize will be the sole responsibility of the winning Nominee. The winning Nominee may receive an IRS form 1099 at the end of the calendar year if the value of the Prize is within IRS guidelines, and a copy of such form will be filed with the IRS. Any additional costs relating to the Prize, and incurred as a result of accepting a prize, are the sole responsibility of the winning Nominee.

Representations and Warranties: You represent and warrant at all times that: (i) the Submission is your own original composition, (ii) does not violate the privacy rights, publicity rights, or any other rights of any person or entity, and (iii) the Nominee has given his/her permission to enter the Submission.

Indemnity: You agree to indemnify, defend and hold each Sponsor harmless from and against any third-party claims arising out of or relating to any breach of any representation, warranty or covenant made by Entrant in connection with his or her entry into the Contest and agreement to these Contest Rules.

Disclaimer: Sponsors and their affiliated and successor corporations, their directors, officers, shareholders, employees and other agents, will not be responsible for: (i) entries that are incomplete, late, lost, illegible, misplaced, misdirected or mutilated; (ii) telephone, electronic, hardware, software, network, or other computer-related or communications-related malfunctions or failures; (iii) any Contest disruptions, injuries, losses or damages caused by events beyond the control of Sponsors or (iv) any printing or typographical errors in any materials associated with the Contest. Sponsors shall not be responsible for the quality or adequacy of the Prize or any portion thereof or the products or services to be provided to the Prize winner. Sponsors will not be responsible or liable for loss or injury resulting from Entrant’s entering the Contest, or from the winning Nominee’s acceptance or use or misuse of the Prize or any portion thereof. The winning Nominee assumes complete liability for damage to property or injuries to the winning Nominee and his or her guests or invitees caused or claimed to be caused by participation in the Contest, or the use or misuse of the Prize or any portion thereof.

General Release: By entering the Contest, you release Sponsors and each of them and their affiliated and successor corporations, their directors, officers, shareholders, employees and other agents, professional advisors, advertising and promotion agencies, Contest partners and Prize suppliers from any liability whatsoever, and waive any and all causes of action, related to any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Contest or the delivery, misdelivery, acceptance, possession, use of or inability to use the Prize or any portion thereof (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory.

Miscellaneous: The Contest and these Contest Rules will be governed, construed and interpreted under the laws of the State of California. If any provision of these Contest Rules is declared to violate any applicable federal, state or municipal law, it shall be amended to conform to such law and all other provisions shall remain in full force and effect.
